Terms of Service

Effective date: October 7, 2026

These terms are an agreement between you and Tangisoft (“Tangisoft,” “we,” “us”). By using our website, our client portal, or any service we provide, you agree to them. A signed proposal or service agreement for your project controls if it conflicts with these terms.

1. Our services

Tangisoft designs and builds websites and provides managed hosting, search-engine optimization, content, review management, and email and SMS marketing tools for small businesses. Specific deliverables, timelines, and prices are set by the plan you select at checkout (your order) together with these terms.

2. Accounts and the client portal

Clients receive access to a client portal to view their sites, billing, and settings. You are responsible for keeping your login credentials confidential and for everything done under your account. Tell us right away at contact@tangisoft.com if you believe your account has been compromised.

3. Fees and billing

Hosting, marketing, and other recurring services are billed in advance on the schedule in your agreement, through our payment processor. Late or failed payments may result in suspension of hosting or services after notice. Fees are non-refundable except where your agreement or the law says otherwise.

4. Minimum term and early termination

Care and Creator Plans finance the build of your website through the monthly fee, so there is no separate build fee. Each plan carries the minimum term shown at checkout and in your client portal (six months unless your order states otherwise). If you cancel before the end of the minimum term, an early-termination fee equal to the remaining monthly payments of the term (or the amount stated in your order) becomes due. After the minimum term, the plan continues month-to-month and either party may end it with 30 days’ notice.

Each plan includes a set number of change requests per month, and additional requests are billed at the rate shown at checkout and in the client portal. Unused included requests do not roll over to the following month.

5. Your content and acceptable use

You keep ownership of the content, logos, and materials you give us, and you grant us a license to use them to build, host, and market your site. You confirm you have the rights to anything you provide. You agree not to use our services for anything unlawful, deceptive, or harmful, to send unsolicited messages, or to try to break or bypass the security of our platform.

6. Marketing tools (email and SMS campaigns)

If you use our email or SMS marketing tools to message your own customers, you are the sender of record. You must have proper consent from every recipient, honor opt-outs, and comply with the CAN-SPAM Act, the TCPA, carrier rules, and applicable state law. Separate marketing terms apply and are presented in the client portal before first use.

7. Text-message alerts from Tangisoft

Clients may opt in to receive Tangisoft account alerts by SMS: automated account and service alerts about their Tangisoft-hosted website and account (outage and recovery notices, security notices, billing and renewal reminders, and replies to support requests). Enrollment is voluntary and is not a condition of purchase.

  • Message frequency varies — typically 1 to 4 messages per month, more during an active incident.
  • Message and data rates may apply. Check with your carrier for details.
  • Reply STOP to cancel at any time (you will get one confirmation message). Reply HELP for help, or contact contact@tangisoft.com / (225) 395-1905.
  • Carriers are not liable for delayed or undelivered messages.
  • We do not share or sell mobile numbers or opt-in information; see our Privacy Policy.

8. Hosting and availability

We work hard to keep hosted sites fast and available, monitor them around the clock, and keep encrypted backups. We do not guarantee uninterrupted service; scheduled maintenance, third-party outages, and events beyond our control can cause downtime. Where your agreement includes an uptime commitment, that commitment applies.

9. Intellectual property

What you own.You own your content, logos, and brand materials, and — once the minimum term has been paid in full — the design and content of your finished website and the source code written specifically for your site (“Customer Site Code”), unless your agreement says otherwise.

What we own: TangiSoft Platform Code. Your site runs on proprietary software that Tangisoftdevelops and maintains for all of its clients (“TangiSoft Platform Code”). It includes our software libraries and packages (for example, the code that provides search-engine optimization and structured data, analytics, reviews, social links, image galleries, and portal-editable settings), our site templates and build tooling, our hosting, deployment, and monitoring configuration, our automation, and the client portal. TangiSoft Platform Code is not a deliverable and is never sold or assigned to you. While your subscription is active and paid, we grant you a limited, non-exclusive, non-transferable license to use it only as part of your Tangisoft-hosted website. That license ends automatically when your services end.

You agree not to copy, extract, distribute, sublicense, or reverse engineer TangiSoft Platform Code, or use it to operate a website outside the Tangisoftplatform, except where the law expressly allows it. Code that a visitor’s browser must download to display your site is still TangiSoft Platform Code and is covered by this section. Tangisoft may reuse general techniques, components, and TangiSoft Platform Code across clients.

Site files when you leave. When we hand over your site files under these terms, you receive the Customer Site Code without TangiSoft Platform Code. References to our libraries are removed and listed in a handover note, so your new developer will need to replace that functionality before the site can be built and hosted elsewhere. Hosting, domains we manage on your behalf, email delivery, the client portal, monitoring, and backups are services that end with your subscription; we will help you transfer domains and move your content.

10. Termination

Either party may end a recurring service with the notice period in your agreement (30 days if none is stated). Care and Creator Plans are subject to the minimum term and early-termination fee described under Minimum term and early termination. We may suspend or end services for non-payment or a material breach of these terms after notice. On request within 30 days after termination, we will provide an export of your site’s content and, if the minimum term has been paid in full, your Customer Site Code as described under Intellectual property (TangiSoft Platform Code is not included).

11. Disclaimers and limitation of liability

Our services are provided “as is” beyond the commitments in your written agreement. We do not guarantee specific search rankings, traffic, or business results. To the fullest extent permitted by law, Tangisoft’s total liability for any claim relating to our services is limited to the fees you paid us for the service at issue in the twelve months before the claim, and we are not liable for indirect, incidental, or consequential damages.

12. Governing law

These terms are governed by the laws of the State of Louisiana. Disputes will be brought in the state or federal courts located in Tangipahoa Parish, Louisiana.

13. Changes and contact

We may update these terms; the effective date above will change and clients will be notified of material changes by email. Questions: contact@tangisoft.com · (225) 395-1905 · Hammond, LA 70401.
